Legal Validity of Invoice Interest in India
In commercial trade across India, a tax invoice signed and accepted by the buyer, or accompanied by an e-way bill / goods delivery challan, constitutes an enforceable written contract under Order 37 Rule 1(2) of the Code of Civil Procedure, 1908.
The 45-Day Statutory Cap
Under Section 15 of the MSMED Act 2006, the maximum credit period permitted between parties cannot exceed 45 days from the date of delivery, regardless of any agreement stating longer credit periods.

Terms printed on invoices (such as "Interest @ 18% per annum will be charged if bill is not paid within 30 days") have been repeatedly upheld by the High Courts of Delhi and Bombay as enforceable contractual agreements.
